1. About these terms
1.1 These Terms and Conditions of Sale ("Terms") apply to every order you place with Thyme & Thimble Studio ("we", "us", "our") through https://thymeandthimblestudio.com/ (the "Site"). Please read them before you order. They set out our rights and obligations and yours.
1.2 These Terms should be read together with our Refund & Returns Policy, our Shipping & Delivery Policy and our Privacy Policy, which form part of your contract with us. Your general use of the Site is also governed by our Website Terms of Use; where these Terms and the Website Terms of Use deal with the same matter for a purchase, these Terms prevail.
2. Definitions
In these Terms: "Consumer", "consumer guarantee", and "major failure" have the meanings given in the Australian Consumer Law ("ACL"), being Schedule 2 to the Competition and Consumer Act 2010 (Cth). "Order" means an offer by you to buy products from us. "Products" means the products we offer for sale.
3. Your order and when a contract is formed
3.1 To place an Order you must select the Products you want, provide the required details, agree to these Terms (and, if applicable, sign in to your account), and submit your Order by completing checkout. By submitting your Order you confirm you have read and agree to these Terms.
3.2 Displaying Products on the Site is an invitation to you to make an Order — it is not an offer by us to sell. Your Order is an offer by you to buy.
3.3 We may send an acknowledgement that we have received your Order. A contract is only formed when we accept your Order by sending you an order confirmation email confirming dispatch. Until then, no contract exists.
3.4 We may decline or cancel an Order before acceptance — for example if the Product is out of stock, there was a pricing or description error, we cannot verify your payment, or we reasonably suspect fraud or a breach of these Terms. If we decline or cancel and you have already paid, we will refund you in full.
3.5 You are responsible for making sure your Order and the details you give us are correct.
4. Price and payment
4.1 The price of each Product is shown on the Site in Australian dollars. Prices include GST where it applies. The total price payable — including GST, delivery and any unavoidable fees — is shown to you as a single figure at checkout before you pay.
4.2 We take reasonable care to price Products correctly, but errors can occur. If we discover a pricing error after you order, cl 3.4 applies (we may cancel before acceptance and refund you), or we will contact you to confirm whether you wish to proceed at the correct price.
4.3 Payment is due at the time of Order unless we agree otherwise. We accept the payment methods shown at checkout. You warrant you are authorised to use the payment method you provide.
4.4 We may change our prices at any time, but a change does not affect an Order we have already accepted.
5. Delivery
5.1 We deliver in line with our Shipping & Delivery Policy, which sets out delivery areas, timeframes and costs and forms part of these Terms.
5.2 Delivery timeframes are estimates, not guarantees. We will supply the Products within a reasonable time. If we cannot, we will contact you and you may agree a new time or cancel the affected part of your Order for a refund.
6. Risk and title
6.1 Risk. We are responsible for the Products until they are delivered to the address you gave us (or collected by you). Risk of loss or damage passes to you once the Products are delivered, or left at your address in accordance with any "authority to leave" instruction you gave us.
6.2 Title. Ownership (title) of the Products passes to you when we have received payment in full and the Products have been delivered.
6.3 For digital products and services, we make them available to you as described at checkout once your payment is received. You are responsible for meeting any system or access requirements we state.
7. Consumer guarantees
7.1 Our Products come with guarantees that cannot be excluded under the ACL. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the ACL or any other law where it cannot lawfully be excluded.
7.2 If you are a Consumer under the ACL, you are entitled to a repair, replacement, refund or cancellation in the circumstances the ACL provides. Our Refund & Returns Policy explains how this works and how to make a claim. In summary: for a major failure you may choose a refund or replacement (or, for services, to cancel and be refunded for the unused part); for a minor failure we may choose to repair, replace or refund within a reasonable time.
8. Returns, refunds and cancellation
8.1 Your rights to return Products and receive a repair, replacement or refund are set out in our Refund & Returns Policy, which forms part of these Terms.
8.2 Any change-of-mind returns are offered on the terms in that policy and are separate from, and additional to, your ACL rights.
9. Your responsibilities
You agree to use the Site and buy Products only for lawful purposes, to give accurate information, and not to misuse the Site or attempt to defraud us or other users. You must be at least 18 years old, or have the consent of a parent or guardian, to place an Order.
10. Our liability
(a) Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded ("Non-excludable Rights").
(b) Subject to your Non-excludable Rights, and to the extent permitted by law, we are not liable for any indirect, special or consequential loss, or loss of profit, revenue, data or business opportunity, arising out of or in connection with the Products or these Terms; and our total liability for any Product is limited, at our option, to replacing or repairing the Product, re-supplying the relevant service, or refunding the price you paid for it.
(c) Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited by law.
11. Intellectual property
All intellectual property in the Site and its content remains ours or our licensors'. Buying a Product does not transfer any intellectual property to you except the right to use the Product for its intended purpose.
12. Events beyond our control
We are not responsible for failing to meet an obligation (other than to pay money or a Non-excludable Right) to the extent it is caused by something reasonably beyond our control, such as a natural disaster, strike, carrier failure, or outage. We will let you know and, if the delay is significant, you may cancel the affected part of your Order for a refund.
13. Changes to these terms
We may update these Terms from time to time. The Terms that apply to your Order are the ones published when you placed it; changes do not apply retrospectively to Orders we have already accepted.
14. General
14.1 These Terms are governed by the laws of VIC, Australia. You and we submit to the non-exclusive jurisdiction of the courts of VIC and the courts that hear appeals from them.
14.2 If any part of these Terms is invalid or unenforceable, it is severed and the rest continues to apply.
14.3 Our failure to enforce any part of these Terms is not a waiver of it.
14.4 These Terms, together with the policies they refer to and your Order, are the entire agreement between you and us for your purchase.
